Terms & Conditions
1. Scope of Application
These Terms and Conditions (T&C) apply to all contracts, deliveries, and services provided by RobotHeros UG (haftungsbeschränkt) i.G., Brunnstr. 30, 93053 Regensburg, Germany. We operate strictly as a business-to-business (B2B) enterprise. These terms apply exclusively to entrepreneurs (Unternehmer) pursuant to Section 14 of the German Civil Code (BGB), legal entities under public law, or special funds under public law.
2. Subject Matter of the Contract
The scope of services encompasses B2B consulting, sales, and system integration of autonomous and humanoid robotics. AI integration is provided as a specialized service to enhance specific robotic systems, rather than as a standalone robot type.
3. Formation of Contract
Our offers are subject to change and non-binding. A binding contract is only concluded upon our written order confirmation or upon the commencement of the agreed services and integration processes.
4. Prices and Payment
Terms All listed prices are strictly net and exclude the applicable statutory value-added tax (VAT). Unless explicitly agreed otherwise in writing, invoices are due for payment in full within 14 days of receipt.
5. Delivery and Retention of Title Delivery and project milestones are only binding if expressly agreed upon in writing. We retain complete title to all delivered hardware and robotic systems (Retention of Title) until all financial claims arising from the ongoing business relationship have been settled in full.
6. Warranty and Duty of Inspection As a B2B customer, you are obligated to inspect delivered goods immediately upon receipt and report any visible defects without delay, in accordance with Section 377 of the German Commercial Code (HGB). The warranty period for delivered hardware and integrated systems is limited to 12 months from the transfer of risk.
7. Liability We accept full liability for damages arising from injury to life, body, or health, and for damages caused by intent or gross negligence. In cases of slight negligence, our liability is restricted to the breach of a material contractual obligation (cardinal duty) and is strictly limited to the foreseeable, typically occurring damage.
8. Governing Law and Jurisdiction The laws of the Federal Republic of Germany shall apply exclusively, explicitly excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising from this contractual relationship is Regensburg, Germany.
